Identify what makes a company an appealing private investment target and where private owners add value

CFA® Level III · Private Markets Pathway · General Partner and Investor Perspectives and the Investment Process · L3.PK.2.c

The idea

Good buyout targets have predictable cash flows able to service debt, a defensible market position, modest capex needs, assets that can serve as collateral, and room to improve under better ownership. A good venture target has a large addressable market, a scalable product and a strong founding team. Private owners create value by improving operations (revenue growth and margin expansion), by improving governance, where concentrated ownership and management equity reduce agency costs, and through buy-and-build add-ons. Debt paydown and multiple expansion also add value. In an investment case, lead with operational levers the GP controls. The trap is a plan that depends on multiple expansion or cheap leverage, which reflects market conditions rather than skill.
